Globally, a growing weight of private capital is moving to non-control investments, particularly into tech, energy markets, biotech and other emerging industries. We work with investors, businesses and founders across the life cycle of start-up, business expansion and liquidity, providing strategic counsel.

Our venture capital and growth teams work across the UK, Europe, Middle East, Asia and Australian markets and regularly advise on transactions involving cross-border investments from or into the US.

We have a deep and established practice acting for entrepreneurial and high growth start-up and scale-up companies particularly in the tech and new energy sectors corporates. We also regularly act for investors, including venture capital firms, private equity houses, family offices and corporate venture arms of major companies on venture capital and non-control private investment.

Experience

New Development Bank

Advising on the US$300 million loan to REC Limited to support the Government of India’s increasing investment in the renewable energy sector.

Lloyds Banking Group

Lloyds Banking Group (as well as five of its former directors) in defending a high profile claim brought by around 6,000 shareholders in relation to the acquisition of HBOS at the height of the financial crisis. The claim was heard in a 19 week trial in late 2017/early 2018. Judgment was handed down in November 2019 and Lloyds was successful in having all claims dismissed.

Phoenix Venture Holdings

Phoenix Venture Holdings, various other companies in the MG Rover group, and present and former directors and officers of companies in the MG Rover group as part of the ongoing investigation by the UK Department for Business, Enterprise and Regulatory Reform (now the Department for Business, Innovation and Skills) into the collapse of the car company in early 2005

RBS

RBS and its former directors in their defence to a high-profile class action concerning the bank's 2008 rights issue
